1. Acceptance of Terms
By accessing or using the OmniSense platform operated by InterseQt ("we", "us", "our"), you agree to be bound by these Terms of Service. If you are using OmniSense on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Description of Service
OmniSense is an AI intelligence platform that connects to your point-of-sale, inventory, kitchen, delivery, and IoT systems to provide operational recommendations, analytics, benchmarking, and demand forecasting for food service and retail businesses.
3. Account Registration
- You must provide accurate and complete registration information
- You are responsible for maintaining the security of your account credentials
- You must promptly notify us of any unauthorized access to your account
- One organization may register multiple brands and stores under a single account
4. Subscription and Billing
- OmniSense is offered on a per-store monthly subscription basis
- Subscription tiers determine which AI capabilities and recommendation types are available
- Pricing is discussed with our sales team and confirmed in your service agreement
- You may upgrade or downgrade your tier at any time; changes take effect at the next billing cycle
- Invoices are generated monthly and payable according to your agreed payment terms
5. Your Data
- You retain full ownership of all data you provide to OmniSense
- We process your data solely to provide the services described in your subscription
- Your data is stored in the cloud region corresponding to your country of registration (see our Privacy Policy)
- Upon subscription termination, you may request a full export of your data within 90 days
- We do not sell, share, or monetize your data in any way
6. Acceptable Use
You agree not to:
- Use OmniSense for any unlawful purpose
- Attempt to reverse-engineer, decompile, or extract source code from the platform
- Interfere with or disrupt the integrity or performance of the service
- Share account credentials with unauthorized individuals
- Use the platform to process data of individuals without appropriate consent
7. AI Recommendations
OmniSense provides AI-generated recommendations to support your operational decisions. Important considerations:
- Recommendations are advisory in nature and require your approval before execution
- High-impact recommendations go through human-in-the-loop approval gates
- You are responsible for reviewing and approving all actions taken based on recommendations
- We do not guarantee specific financial outcomes from following recommendations
- Expected impact estimates are based on historical data patterns and may vary
8. Service Availability
- We target 99.9% uptime for the OmniSense platform
- Scheduled maintenance windows will be communicated at least 48 hours in advance
- We are not liable for downtime caused by your POS systems, network issues, or third-party integrations
9. Intellectual Property
The OmniSense platform, including its AI models, algorithms, user interface, documentation, and branding, is the exclusive property of InterseQt. Your subscription grants a limited, non-exclusive, non-transferable license to use the platform for your internal business operations.
10. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the use of the service. This includes business data, system configurations, and integration details.
11. Limitation of Liability
To the maximum extent permitted by law, InterseQt shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of OmniSense, including but not limited to lost profits, business interruption, or data loss.
12. Termination
- You may cancel your subscription at any time with 30 days notice
- We may suspend your account for non-payment after the grace period specified in your agreement
- We may terminate your account for material breach of these terms after 14 days written notice
- Upon termination, your access to the platform ceases and data retention is governed by our Privacy Policy
13. Governing Law
These terms are governed by the laws of the jurisdiction corresponding to your service agreement. For UAE-based customers, disputes are subject to the courts of the Dubai International Financial Centre (DIFC). For KSA-based customers, disputes are subject to the courts of the Kingdom of Saudi Arabia in accordance with Saudi law. For EU-based customers, the laws of the Federal Republic of Germany apply.
14. Changes to Terms
We may update these terms from time to time. We will provide at least 30 days notice of material changes. Continued use of the service after changes take effect constitutes acceptance of the updated terms.
